Terms of Service

You must be at least 18 years old to use SoulPal. By using the Service, you represent and warrant that:

• you are at least 18 years old;
• you have the legal capacity to enter into a binding agreement; and
• your use of the Service will comply with applicable law.

SoulPal is an AI companionship and conversational platform. The Service may allow users to create, customize, interact with, publish, or share AI characters, prompts, profiles, images, text, and related content.

AI-generated responses are automatically produced and may be fictional, inaccurate, inconsistent, or inappropriate. SoulPal does not guarantee that any response, recommendation, or generated output is correct, safe, available, or suitable for your needs.

To access certain features, you may need to create an account. You agree to:

• provide accurate and current information;
• keep your login credentials confidential;
• promptly update information that becomes inaccurate; and
• notify us at support@soulpal.ai if you suspect unauthorized access to your account.

You are responsible for activity that occurs under your account.

Some features may require payment. If you purchase a subscription or other paid feature:

• you authorize us or our payment processors to charge the applicable fees;
• recurring subscriptions renew automatically unless cancelled before the next billing date;
• pricing, billing periods, and included features may change from time to time; and
• taxes may apply depending on your location.

You may not use SoulPal to do, promote, request, generate, upload, or distribute content that:

• violates any law or regulation;
• exploits, sexualizes, or endangers minors;
• promotes sex trafficking, sexual exploitation, abuse, coercion, or non-consensual sexual activity;
• infringes intellectual property, privacy, publicity, or other rights;
• contains malware, malicious code, or attempts to interfere with the Service;
• impersonates another person in a misleading or harmful way;
• promotes fraud, scams, phishing, financial crime, or identity theft;
• includes hate speech, threats, targeted harassment, or glorification of violence;
• facilitates self-harm, suicide encouragement, or eating disorder promotion;
• attempts to bypass platform safeguards, filters, or moderation systems; or
• is otherwise prohibited under our policies.

You also agree not to scrape, reverse engineer, resell, or misuse the Service or its outputs except as expressly allowed by law.

You may submit prompts, text, images, character settings, profile information, and other materials to SoulPal ("User Content").

You retain ownership of User Content you lawfully own. However, by submitting User Content to SoulPal, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, display, moderate, and use that content as needed to:

• operate and provide the Service;
• improve safety, moderation, quality, and performance;
• investigate abuse and policy violations; and
• comply with legal obligations.

If you choose to publish characters or other materials publicly, you understand that other users may view, interact with, or rely on them.

Subject to applicable law and these Terms, you may use outputs generated for you through the Service for lawful purposes. However:

• outputs may resemble content provided to or generated for other users;
• outputs may be factually wrong or unsuitable;
• outputs must not be used to violate laws or rights of others; and
• SoulPal may limit, remove, or disable outputs that violate our policies.

We do not guarantee exclusivity, originality, merchantability, or fitness of AI-generated outputs.

SoulPal may review, screen, flag, restrict, remove, or disable accounts, content, characters, messages, or features where we believe it is necessary to:

• enforce these Terms and related policies;
• protect users, the public, and SoulPal;
• investigate reports or legal requests; or
• reduce legal, trust, safety, or operational risk.

We may take action with or without prior notice.

The Service, including our software, design, branding, logos, interfaces, and proprietary materials, is owned by SoulPal or its licensors and is protected by applicable intellectual property laws.

Except for limited rights expressly granted in these Terms, no license or ownership right is transferred to you.

If you believe content on SoulPal infringes your copyright or other intellectual property rights, contact us at support@soulpal.ai with sufficient detail for us to evaluate the request, including:

• your contact information;
• a description of the protected work;
• the location of the allegedly infringing material; and
• a good-faith statement that you are authorized to make the complaint.

We may remove or restrict access to content while investigating.

SoulPal may rely on third-party providers for hosting, billing, analytics, communications, identity verification, moderation, or other functions. We are not responsible for third-party products or services beyond what applicable law requires.

SoulPal is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted availability.

We do not guarantee that the Service will always be secure, available, accurate, or free from bugs, outages, harmful content, or moderation errors.

To the fullest extent permitted by law, SoulPal and its affiliates, officers, employees, contractors, and licensors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity arising from or related to your use of the Service.

If we are found liable to you, our total liability for any claim arising out of or relating to the Service will not exceed the greater of:

• the amount you paid us in the 12 months before the event giving rise to the claim; or
• USD $100.

You agree to indemnify and hold harmless SoulPal and its affiliates, personnel, and service providers from claims, liabilities, damages, losses, and expenses arising out of or related to:

• your use of the Service;
• your User Content;
• your violation of these Terms; or
• your violation of any law or third-party rights.

We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, created risk for users or SoulPal, or if we discontinue part or all of the Service.

Upon termination, provisions that by their nature should survive will survive, including provisions relating to ownership, disclaimers, liability limits, dispute resolution, and indemnification.

We may update the Service, these Terms, or related policies from time to time. When legally required, we will provide notice of material changes. Continued use of the Service after the effective date of updated Terms means you accept the revised Terms.

These Terms are governed by the laws applicable in the jurisdiction from which SoulPal operates, without regard to conflict-of-law rules, except where mandatory consumer protection laws require otherwise.

Before filing a formal claim, you agree to first contact us at support@soulpal.ai and try to resolve the issue informally.

If a dispute cannot be resolved informally, it may be resolved in the courts of competent jurisdiction determined by applicable law and our operating entity, unless mandatory local law provides otherwise.
